Terms and Conditions of Use

Welcome to Monil’s system for virtual fencing and animal monitoring. Please read these Terms and Conditions of Use (“Terms”) carefully, as they constitute a legally binding agreement between you (“User,” “you,” or “your”) and Monil regarding your access to and use of Monil’s products, services, and applications ( “Products and Services”). By accessing or using any part of the Services, you agree to these Terms. If you do not agree, do not use the Products and Services.

Depending on the user’s location, the Products and Services are provided either by Monil AS (EEA/UK) or Monil Inc. (United States).

1. Description of Products and Services

Monil provides systems consisting of cattle and sheep collars and related interfaces, such as mobile applications, that create a user-defined “virtual fence.” The collars use audio and electric cues to help contain animals. Proper use requires following the Monil User Manual. The system is not a replacement for physical fencing or routine livestock inspections and no one should solely rely on virtual fencing at any time including but not limited to when there is inherent risk to livestock, humans, or other valuable assets. For the avoidance of doubt, the Monil system is not intended to replace physical fencing, regular livestock inspections, or responsible animal management practices.

2. Connectivity and Infrastructure Dependencies

Monil’s Products and Services rely on external technologies and infrastructure including satellite positioning systems (such as GPS), cellular networks, cloud services, and third-party hardware or software components. Monil does not guarantee uninterrupted availability, accuracy, or performance of these external systems. Interruptions, delays, inaccuracies, or service outages may occur and may affect operation of the Products or Services. Such dependencies are outside Monil’s control and Monil shall not be liable for failures caused by these external systems.

3. Applicability and Changes

These Terms apply to all Monil Products and Services worldwide. If you reside in the United States, your agreement is with Monil Inc. If you reside in the European Economic Area (EEA), the United Kingdom, Switzerland, or any jurisdiction outside the United States, your agreement is with Monil AS.Monil reserves the right to modify these Terms from time to time. Any changes will be communicated via email, in-product notification, or other reasonable means. Updated Terms will become effective on the date specified in the notice. For material changes, Monil will provide advance notice where required by applicable law. Continued use of the Products or Services after the effective date constitutes acceptance of the updated Terms. If the Buyer does not agree to the changes, the Buyer must discontinue use of the Products and Services.

4. Compliance with Laws and User Responsibility

You are solely responsible for:

Using Products and Services in compliance with all applicable national, regional, and local laws and regulations, including but not limited to animal welfare, zoning, and electrical device regulations.
Ensuring that your use of Monil’s Products is lawful in your jurisdiction.
Obtaining and maintaining all required licenses, permits, or approvals.

Monil disclaims any responsibility for your failure to comply with local or state legislation.

Operational ResponsibilityThe User is solely responsible for proper installation, configuration, maintenance, and supervision of the Products and Services. This includes correct fitting of collars, training of animals according to Monil’s instructions, adequate monitoring of livestock, and maintaining appropriate physical fencing or other safety measures where required. Virtual fencing technology is intended to supplement, not replace, responsible livestock management.

5. Regulatory Disclaimer

The Products and Services are not certified, approved, or endorsed by any governmental authority unless explicitly stated. Monil does not represent or warrant that its Products meet any specific governmental or industry certification or regulatory standard for animal control, fencing, or monitoring systems.

It is the User’s sole responsibility to:

Verify that use of the Products is permissible under applicable law in their jurisdiction;
Determine any required regulatory or environmental compliance measures; and
Use the Products in a lawful and ethical manner.

Monil shall not be liable for any penalties, fines, or enforcement actions arising from the User’s noncompliance with applicable laws or regulations.

6. Prohibited Uses

You may not:

Use the system for any unlawful purpose or in violation of any regulation.
Use the system on animals other than its specified use (6 months and older).
Attempt to access or tamper with any unauthorized part of the system.
Export the Products and Services from the territory where you were granted such rights or where the Products were delivered (the “Territory”) or use the Products and Services outside such Territory.
Modify, resell, distribute in any form or under any agreement, decipher, or reverse-engineer any part of the system for any reason.

7. User Accounts

You must create an account using the Monil App. You are responsible for safeguarding your credentials and for all activities under your account.

8. Privacy

Your privacy is governed by Monil’s Privacy Policy, available at [link]. By using the Products and Services, you consent to the data practices described therein.

9. Force Majeure

Monil shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, wars, epidemics, or regulatory actions. This includes, but is not limited to, any strike, lock-out, labour dispute, act of God, inability to obtain labour, utilities or services, application of applicable laws, enemy or hostile actions, sabotage, war, blockades, insurrections, riots, epidemics, washouts, nuclear and radiation activity or fall-out, civil disturbances, explosions, fire or other casualty, or any other cause, whether similar to or dissimilar from the foregoing, provided that it is beyond the control of Monil. Monil shall promptly notify the User of the occurrence of any such event.

In the event of any such delay, defect or failure to fulfil an obligation, performance of the affected obligation shall be suspended for a period of time equal to the time of such delay, unless the delay continues for more than sixty (60) days, in which case Monil may terminate the agreement in question with immediate effect without incurring any liability.

10. Intellectual Property Rights

Monil owns all intellectual property rights in the Products and Services, including designs, artwork, software, data, functionality, and documentation, custom developments, modifications, and derivative works by whomever produced. You receive a limited, non-exclusive, non-transferable license for personal use only. You may not copy, modify, decompile, or use the Products or Services to develop a competing product.

User acknowledges that he/she obtains no proprietary rights in Monil’s trademarks, service marks, trade names, URLs, copyrighted material, patents, and patent applications, and agrees not to challenge our proprietary rights. The compilation of all data included in or made available through the Services and/or Products is the exclusive property of Monil and protected by U.S. and international copyright laws.

11. Limited Warranty

Monil warrants its Products only for Normal Use, as defined in the User Manual. This warranty excludes damage caused by misuse, unauthorized modification, neglect, or noncompliance with Monil’s instructions or these Terms. Warranty rights may vary by state, and you may have additional rights under applicable state law.

12. Reporting Nonconformance

You must notify Monil promptly of any product defect or nonconformance at support@monil.com.

13. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Monil, its affiliates, officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use or misuse of the Products or Services;
Your violation of these Terms;
Your violation of any law, regulation, or third-party right; or
Any claim relating to animal welfare, property damage, or injury allegedly caused by your use of the Products or Services.

Monil reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with Monil’s defense.

14. Limitation of Liability

Agricultural Use and Assumption of RiskLivestock farming and animal management involve inherent risks, including the possibility that animals may escape, behave unpredictably, or cause damage or injury. The Products and Services are tools intended to assist livestock management but cannot eliminate these risks. By using the Products or Services, the User accepts and assumes all risks associated with livestock management and agrees that Monil shall not be responsible for losses or damages arising from such inherent risks.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

MONIL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

MONIL’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE.

YOU (THE USER) ARE RESPONSIBLE FOR ANY CLAIMS, DAMAGES, FINES, OR PENALTIES ARISING FROM YOUR USE OF THE PRODUCTS OR SERVICES IN VIOLATION OF LOCAL, STATE, OR FEDERAL LAW.

MONIL IS NOT RESPONSIBLE FOR ANY ANIMAL BEHAVIOR OR BREACHES OF VIRTUAL FENCES, OR FOR ANY THIRD-PARTY CLAIMS RELATING TO ANIMAL WELFARE OR PROPERTY DAMAGE.

Some states do not allow certain limitations of liability, so these provisions may not apply to you in their entirety.

15. Governing Law and Dispute Resolution

If you reside in the European Economic Area (EEA), the United Kingdom, Switzerland, or any jurisdiction outside the United States, these Terms are governed by the laws of Norway, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the courts of Norway.

If you reside in the United States, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

Before initiating litigation, the parties agree to attempt in good faith to resolve disputes through mediation.

16. Severability and Waiver

If any provision of these Terms is found invalid under applicable law, the remaining provisions will remain in full force and effect.Failure to enforce any provision does not constitute a waiver of rights.
